Terms of Service

Welcome to Nearli. These Terms of Use (“Terms”) govern your access to and use of the Nearli website, platform, and services (“Nearli,” “we,” “us,” or “our”). By accessing or using Nearli, you agree to these Terms.
If you do not agree, do not use the platform.
1. Eligibility
Nearli is intended for use by adults only. You must be at least 18 years old to create an account, post a listing, message users, or book services.
By using Nearli, you confirm that you meet this requirement.
2. What Nearli Is
Nearli is a peer-to-peer marketplace that helps connect members with independent local service providers. Nearli does not provide services itself and does not employ providers. Providers operate as independent contractors, not employees, partners, agents, or representatives of Nearli.
3. Accounts
You are responsible for maintaining accurate account information and for all activity that occurs under your account.
You agree not to:
- Misrepresent your identity or qualifications
- Share your account credentials
- Use another person’s account Nearli may suspend or terminate accounts that violate these Terms.
4. Provider Listings and Verification
Providers must complete Nearli’s verification process before publishing a listing. Verification may include submitting credentials or other documentation for manual review. Verification confirms that information was reviewed but does not guarantee quality, results, or outcomes. Providers are responsible for keeping information current and accurate.
5. Bookings, Payments, and Fees
Members may browse and message providers at no cost. Providers set their own pricing, availability, and session details.
Payments for services booked through Nearli are processed using Stripe, a third-party payment processor. By using Nearli, you agree to Stripe’s terms and authorize Nearli and Stripe to process payments and payouts on your behalf. Nearli may charge providers a platform commission, disclosed during listing and prior to accepting bookings. Nearli is not responsible for services delivered, outcomes, or disputes arising from service performance.
6. Independent Contractor Status
Providers are solely responsible for:
- Service delivery
- Professional conduct
- Required licenses, certifications, and insurance
- Taxes and business expenses Nothing in these Terms creates an employment or agency relationship.
7. User Conduct
All users must comply with Nearli’s Code of Conduct, including expectations related to professionalism, safety, nondiscrimination, and respectful communication.
Prohibited behavior includes harassment, fraud, discrimination, unsafe conduct, and attempts to move payments off-platform.
8. Cancellations and Reliability
Users are expected to honor agreed bookings. Repeated cancellations, no-shows, or unreliable behavior may result in account restrictions or removal.
9. Disclaimers
Nearli makes no guarantees regarding:
- Provider qualifications beyond verification of certificates
- Service outcomes
- Availability or suitability of providers Services are provided by independent providers “as is” and at users’ own discretion.
10. Limitation of Liability
To the fullest extent permitted by law, Nearli is not liable for:
- Injuries or damages arising from services
- Provider or member conduct
- Lost income, profits, or opportunities Nearli’s liability, if any, is limited to the amount of fees paid to Nearli related to the applicable transaction.
11. Termination
Nearli may suspend or terminate access to the platform at any time for violations of these Terms, the Code of Conduct, or applicable law.
12. Changes to These Terms
We may update these Terms from time to time. Continued use of Nearli after changes constitutes acceptance of the updated Terms.
13. Governing Law and Venue
These Terms are governed by and construed in accordance with the laws of the State of New Mexico, without regard to its conflict of laws principles. Any legal action or proceeding arising out of or relating to these Terms or the Nearli platform shall be brought exclusively in the state or federal courts located within the State of New Mexico.
